DIGISOLUTIONS LLC – Truck Dispatch Services Agreement

1. Service Overview

DIGISOLUTIONS LLC provides professional truck dispatch and logistics coordination services. Our services include, but are not limited to:

Load searching and booking

Rate negotiation with brokers

Paperwork management (Rate Confirmations, BOL assistance, etc.)

Broker communication

Route planning assistance

Administrative dispatch support

DIGISOLUTIONS LLC acts solely as an independent dispatch service provider and is not a freight broker, carrier, or shipper.

2. No Guarantee of Results

DIGISOLUTIONS LLC provides professional dispatch services based on experience and industry standards.

However:

We DO NOT guarantee specific load volume

We DO NOT guarantee specific rates per mile

We DO NOT guarantee weekly revenue amounts

We DO NOT guarantee broker approval

We DO NOT guarantee continuous load availability

Freight market conditions fluctuate due to fuel prices, seasonality, demand, and economic factors beyond our control.

Payment is for professional time, effort, expertise, and administrative services — NOT for guaranteed revenue or results.

3. Payment Terms

By purchasing our services, the Client agrees to the following:

All payments are for dispatch services rendered.

Payments may be structured as:

Percentage per load (e.g., 5–10%), OR

Flat weekly fee, OR

Setup/Onboarding fee

Payments are due as agreed in invoice or service agreement.

Failure to pay may result in immediate service suspension.

4. No Refund & Chargeback Policy

By submitting payment, the Client agrees:

All payments are final and non-refundable once services have begun.

Initiating a chargeback without valid legal grounds constitutes breach of agreement.

Dispatch services are considered delivered once:

Loads are searched and offered

Brokers are contacted

Rate negotiations are conducted

Administrative support is provided

Even if a load is not booked, time and professional service has been rendered.

In the event of a chargeback:

DIGISOLUTIONS LLC will provide:

Signed agreement

Communication logs (calls, emails, texts)

Load search records

Rate confirmations

Proof of work performed

Client agrees to be responsible for any chargeback fees, legal costs, and recovery expenses.

Fraudulent disputes will be pursued to the fullest extent permitted by law.

5. Client Responsibilities

The Client agrees to:

Maintain active MC/DOT authority

Maintain valid insurance coverage

Provide accurate carrier packet information

Maintain good safety score and compliance

Communicate availability and truck location honestly

Not double-book loads

DIGISOLUTIONS LLC is not responsible for:

Load cancellations caused by carrier

Service failures by the driver

Insurance issues

FMCSA violations

Broker payment delays

6. Independent Contractor Relationship

DIGISOLUTIONS LLC operates as an independent contractor. Nothing in this agreement creates:

Employer-employee relationship

Partnership

Joint venture

Carrier maintains full operational control of equipment and drivers.

7. Limitation of Liability

DIGISOLUTIONS LLC shall not be liable for:

Loss of profits

Business interruption

Indirect or consequential damages

Market fluctuations

Broker non-payment

Maximum liability shall not exceed the amount paid to DIGISOLUTIONS LLC for the specific billing period.

8. Acceptance of Terms

By making payment, signing agreement, or using our services, Client confirms:

They have read and understood these Terms

They agree that services are effort-based, not result-guaranteed

They waive the right to dispute payment based solely on lack of desired revenue outcome

9. Governing Law

This Agreement shall be governed by the laws of the State of CA, United States.
